Who will be part of the management board (zarząd)?
Now let’s briefly explain what the management board is.
Zarząd is the mandatory governing body of a Sp. z o.o.
It must include at least one person.
This can be: the person you have already indicated as the director (prezes), one of the owners, or a hired individual (for example, a manager).
❓ Who is a “członek zarządu”?
A członek zarządu is a person who is officially part of the company’s management (Sp. z o.o.).
📌 Simply put: this is the person who formally manages the company “on paper.”
They sign documents, can open bank accounts, conclude contracts, and represent the company before banks, the tax office, and other institutions.
📌 Why add more people to the zarząd?
If you want several people to have official authority to manage the company, sign documents, or participate in decision-making — you can include them in the zarząd.
📌 Can there be only one?
Yes, it’s possible. The law does not require more than one board member.
Everything depends on your structure (if you’ve already chosen only a director, no others need to be added).
